Terms of Service

These terms govern access to and use of the Muyisho platform (“Service”) provided by Hendrik M. Wendland(“Muyisho”, “we”, “us”). By accessing the Service or signing in to your account, you agree to these terms. Where a written subscription agreement is in place between Muyisho and your firm, that agreement governs and prevails over any conflicting term below.

The Service

Muyisho is a workspace for the screening, filing analysis, coordination and tracking of multi-jurisdictional merger control filings. It is currently provided in a private alpha to a limited set of partner law firms. Access is granted on the basis of an alpha-access code and an individual user account.

We endeavour to make the Service available 24/7 except for interruptions due to support, maintenance, or events outside our reasonable control. We will use commercially reasonable efforts to minimise such interruptions and, where possible, give advance notice.

Accounts and access

  • Each user account is personal and must not be shared, transferred or used by anyone other than the named user.
  • You are responsible for safeguarding your credentials and for all activity that occurs under your account.
  • You must promptly notify us at security@muyisho.com of any suspected or actual unauthorised access to the Service or to your account credentials. We may suspend access where we reasonably believe an account has been compromised or used in breach of these terms.

Where your firm has designated administrators, those administrators may manage user accounts within your firm's workspace, including provisioning and de-provisioning end users and reviewing usage information.

Acceptable use

You agree not to:

  • use the Service in a way that infringes, misappropriates or violates any person's rights, including intellectual property and privacy rights;
  • sub-license, sell or otherwise transfer your right to access or use the Service;
  • attempt to reverse engineer, derive the source code of, or create derivative works based on the Service, except as expressly permitted by applicable law;
  • use any automated or programmatic method (including scraping or crawling) to extract data or output from the Service beyond ordinary, intended use;
  • use the Service to build or train a competing product or service;
  • interfere with or attempt to interfere with the proper working, integrity or security of the Service, including by introducing malicious code or attempting to gain unauthorised access;
  • submit content that you do not have the right to submit, or content that is unlawful, defamatory or otherwise harmful.

Customer content and confidentiality

As between you and Muyisho, you (and, where applicable, your firm and its clients) retain all rights, title and interest in and to any data, documents, party information, revenue figures and other content that you upload to or generate through the Service (“Customer Content”). You grant us a limited, non-exclusive licence to host, store, transmit and process Customer Content solely for the purpose of providing the Service in accordance with these terms and any applicable subscription agreement.

Each party will treat the other party's confidential information with at least the same degree of care it uses to protect its own confidential information of like importance, and in any event with no less than reasonable care. We will not use Customer Content to train generative or base AI models, nor will we permit our subcontractors to do so, except where expressly agreed in writing.

Personal data

Where we process personal data on your firm's behalf as a data processor, we will do so in accordance with the Data Processing Agreement entered into between us. Our processing of personal data for which we are the controller (such as user account data and security audit logs) is described in our Privacy Policy.

Alpha-stage Service

You acknowledge that the Service is currently provided in a private alpha. As a result:

  • features and behaviour may change without notice;
  • the Service may contain errors, defects or interruptions and is not intended for use as the sole record of regulated filings without independent verification;
  • any output of the Service — including threshold analyses, suggested filings and timelines — is provided to support, not replace, the professional judgment of qualified counsel; you remain responsible for the accuracy, completeness and legality of all filings made on the basis of such output.

For the avoidance of doubt, Muyisho is not a law firm, does not practise law and does not provide legal advice.

Intellectual property

We and our licensors retain all rights, title and interest in and to the Service, including all intellectual property rights in it and any modifications, updates, upgrades, deliverables and documentation. Nothing in these terms transfers any such rights to you, except for the limited rights of access and use expressly granted herein.

Feedback, suggestions and ideas you provide about the Service are not treated as your confidential information; we may use them without restriction or compensation, and any intellectual property rights resulting from such use vest in us.

Warranties and disclaimer

We will provide the Service in a professional manner and in accordance with generally accepted industry standards. Subject to mandatory law, the Service is otherwise provided on an “as is” and “as available” basis and we disclaim all other warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and title. We do not warrant that the Service will be uninterrupted, error-free or meet your specific requirements.

Liability

Nothing in these terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct.

Subject to the foregoing, neither party will be liable for any indirect, special, incidental, exemplary, punitive or consequential damages, including lost profits, lost opportunities, loss of goodwill or cost of substitute services, arising out of or in connection with these terms, even if advised of the possibility of such damages.

Each party's aggregate liability arising out of or in connection with these terms shall not exceed the greater of (i) the fees paid or payable by your firm to Muyisho in the twelve (12) months preceding the event giving rise to the claim or (ii) one thousand euros (EUR 1,000), where no fees apply during the alpha phase.

Suspension and termination

We may suspend or terminate your access to the Service, with or without notice, where you materially breach these terms, where we are required to do so by law, or where continued access poses a security or operational risk. You may stop using the Service at any time; on termination, the licences granted under these terms cease and we will, at your firm's reasonable request, provide commercially reasonable assistance with the retrieval of Customer Content in a standard machine-readable format.

Changes to these terms

We may amend these terms from time to time by posting an updated version on this page. Changes take effect when posted. Where changes materially adversely affect you, we will use reasonable efforts to notify you in advance through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated terms.

Governing law and disputes

These terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-laws rules. The exclusive place of jurisdiction for any dispute arising out of or in connection with these terms shall be Cologne, Germany, to the extent permitted by law. Mandatory consumer protection rights remain unaffected.
